Terms of Service
These terms are an agreement between you (the dealer business and its users) and GadgetVault. By creating an account or using the service, you agree to them.

1. The service
GadgetVault provides software for licensed used-phone dealers to record phone purchases, verify seller identity, and optionally list devices on a public marketplace. GadgetVault is a record-keeping and verification tool. We are not a party to any transaction between a dealer and a seller or buyer, and we do not take title to any device.
2. Eligibility and accounts
- You must be a legitimate business dealing in used phones, and at least 18 years old.
- You are responsible for the accuracy of the information you enter and for all activity under your account and your staff accounts.
- You must keep your login credentials secure and notify us of any unauthorised use.
3. Subscriptions and wallet billing
- Access to GadgetVault requires an active subscription, billed monthly.
- Creating records is charged from a prepaid wallet on a per-record basis, after any free introductory records are used.
- All payments are processed on the GadgetVault website through our payment provider. Fees are quoted in Nigerian Naira. Wallet balances and per-record charges are non-transferable.
- Except where required by law, subscription fees and consumed wallet charges are non-refundable.
4. Your responsibilities and acceptable use
You agree that you will not:
- Enter false, misleading, or unlawfully obtained information into a record.
- Use the service to facilitate the sale of stolen goods or any illegal activity.
- Collect or verify a person’s identity without a lawful basis and their knowledge.
- Attempt to breach, probe, or circumvent the security of the platform, or access records that are not yours.
- Resell, sublicense, or reverse-engineer the service.
You are responsible for complying with all laws that apply to your business, including data-protection and consumer-protection obligations toward the sellers and buyers you deal with.
5. Records and immutability
A core feature of GadgetVault is that saved purchase records are immutable — their core fields cannot be edited or deleted after creation. This is intentional and central to the service’s value. You acknowledge that records are retained as described in our Privacy Policy, including after account closure, to preserve their legal integrity.
6. Marketplace
If you list a device on the public marketplace, you are responsible for the accuracy of the listing and for the sale itself. GadgetVault does not process marketplace payments and is not responsible for disputes between buyers and sellers.
7. Intellectual property
GadgetVault and its software, branding, and content are owned by us. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing.
8. Availability and changes
We work to keep the service available but do not guarantee uninterrupted operation. We may update, add, or remove features, and may change these terms. Continued use after a change means you accept the updated terms.
9. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate an account that breaches these terms or that we reasonably believe is being used unlawfully. Retention of existing records after termination is governed by the Privacy Policy.
10. Disclaimers and liability
The service is provided “as is”. GadgetVault does not warrant that identity-verification results are error-free, as they depend on third-party data sources. To the maximum extent permitted by law, GadgetVault is not liable for indirect or consequential losses, and our total liability is limited to the fees you paid us in the three months before the claim.
11. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria.
